For more than a decade, Paul Wagoner has provided thoughtful counsel to public officials, senior military commanders and public company life science executives on a wide variety of matters. His military training and litigation background, combined with his life sciences industry experience, provide clients with a unique and thorough assessment of risk management and strategic legal advice to achieve business objectives. Counsel

Oversaw teams of outside counsel for purchase of biologic asset to add to small molecule oncology portfolio, while collaborating cross-functionally with business development, clinical trial, product lead, and contracts teams.
Assisted with negotiation of licensing agreement with Asian distributor and manufacturing agreement with European commercial supplier.
Supported business team and outside counsel in drafting of dozens of agreements, including MSAs, MRSAs, CDAs, SOWs, consulting, and vendor amendments.
Reviewed or drafted compliance materials (FDA and SEC), Board and Committee meeting documents, HR letters, proxy notices, and responses to motions for shareholder lawsuits.

Paul served as a Director of the Massachusetts LGBTQ Bar Association, chairing its Amicus and Judicial Nominating Committees, from 2011 to 2014. He also completed the Boston Bar Association (BBA) Public Interest Leadership Program in 2014. The National LGBT Bar Association named Paul one of the Best Lawyers Under 40 in 2017, and he currently participates in the BBA's Veterans Forum.
